Terms of Use

By accessing or using taskfills.com and its associated mobile applications, APIs, and services (hereinafter collectively referred to as "the Platform" or "Task Fills"), you agree to be bound by the following terms and conditions (the "Terms"). If you do not agree to these Terms, you should not access or use the Platform. These Terms constitute a legally binding agreement between you and Task Fills.

1. Introduction and Acceptance

1.1. By registering for and/or using the Platform in any manner, including but not limited to visiting or browsing the Platform, you agree to be bound by these Terms and all other operating rules, policies, and procedures that may be published by Task Fills from time to time.
1.2. These Terms apply to all users of the Platform, including without limitation, Recruiters, Employers, Applicants, and general users.
1.3. You represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a company, entity, or organization, you represent and warrant that you have the authority to bind such organization to these Terms.
1.4. Task Fills may modify these Terms at any time at its sole discretion. Any changes to these Terms will be effective immediately upon posting. Your continued use of the Platform constitutes your acceptance of the revised Terms.

2. Recruiters and Employers

2.1. Account Creation and Maintenance

2.1.1. Recruiters and Employers are required to create a profile on the Platform in order to post job listings, access applicant information, and utilize recruiting tools.
2.1.2. You must provide accurate, current, and complete information during the registration process and keep your account information updated.
2.1.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.1.4. You agree to notify Task Fills immediately of any unauthorized use of your account or any other breach of security.


2.2. Job Postings and Content

2.2.1. Recruiters and Employers are responsible for ensuring that job listings posted on the Platform are accurate, legal, and comply with all applicable laws and regulations, including without limitation, equal employment opportunity laws and regulations.
2.2.2. Job postings must include accurate information regarding the position, company, location, compensation (where required by law), and qualifications.
2.2.3. You agree not to post jobs that require payment from applicants, are for pyramid schemes, involve illegal activities, or are otherwise inappropriate or violate these Terms.
2.2.4. Task Fills reserves the right to remove any job posting at any time for any reason without notice.


2.3. Equal Opportunity and Non-Discrimination

2.3.1. Recruiters and Employers are prohibited from using the Platform to discriminate against applicants based on race, color, religion, sex, national origin, age, disability, genetic information, or any other status protected by applicable law.
2.3.2. Job postings must comply with all applicable non-discrimination laws and regulations.
2.3.3. Task Fills may remove job postings that violate this provision and may suspend or terminate accounts that engage in discriminatory practices.


2.4. Applicant Data and Privacy

2.4.1. Recruiters and Employers are responsible for complying with all applicable laws and regulations regarding the collection, use, storage, and protection of applicant information.
2.4.2. You agree to use applicant information solely for the purpose of evaluating candidates for employment and not for any other commercial purpose.
2.4.3. You must maintain appropriate security measures to protect applicant information and notify Task Fills immediately in the event of any data breach affecting such information.
2.4.4. You agree to process applicant data in accordance with Task Fills' Privacy Policy and applicable data protection laws.

3. Applicants and Job Seekers

3.1. Account Creation and Maintenance

3.1.1. Applicants are required to create a profile on the Platform in order to apply for jobs, access job listings, and utilize job search tools.
3.1.2. You must provide accurate, current, and complete information in your profile and keep your profile information updated.
3.1.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.1.4. You agree to notify Task Fills immediately of any unauthorized use of your account or any other breach of security.


3.2. Profile Content and Applications

3.2.1. Applicants are responsible for ensuring that the information provided in their profile and job applications is accurate, truthful, and complete.
3.2.2. You are prohibited from providing false, misleading, or fraudulent information in your profile or job applications.
3.2.3. You represent and warrant that all documents and information you submit, including resumes, portfolios, and credentials, are authentic and accurate representations of your skills, experience, and qualifications.
3.2.4. Task Fills reserves the right to remove any profile or application at any time for any reason without notice.


3.3. Communication and Conduct

3.3.1. Applicants must conduct themselves professionally in all interactions through the Platform, including communications with potential employers.
3.3.2. You agree not to engage in harassing, abusive, or unprofessional behavior toward recruiters, employers, or other users of the Platform.
3.3.3. You agree not to use the Platform to send unsolicited commercial messages or spam.


3.4. Data Privacy and Third-Party Sharing

3.4.1. By creating a profile and applying for jobs, you consent to the sharing of your profile information with potential employers as described in our Privacy Policy.
3.4.2. You understand that employers may store and process your application data according to their own privacy policies once you apply for their positions.
3.4.3. You have the right to request deletion of your account and personal information as outlined in our Privacy Policy, subject to legal retention requirements.

4. Prohibited Activities

4.1. General Prohibitions

4.1.1. You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Platform; (ii) using any automated system, including "robots," "spiders," or "offline readers," to access the Platform; (iii) transmitting spam, chain letters, or other unsolicited communications; (iv) attempting to interfere with or compromise the system integrity or security; (v) using the Platform for any illegal purpose or in violation of any local, state, national, or international law; (vi) conducting any unauthorized advertising; or (vii) collecting or harvesting any personally identifiable information from the Platform.


4.2. Content Restrictions

4.2.1. You agree not to post, upload, or share content that: (i) infringes any intellectual property or other proprietary rights; (ii) is false, misleading, or fraudulent; (iii) is defamatory, obscene, pornographic, vulgar, or offensive; (iv) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (v) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vi) promotes illegal or harmful activities.
4.3. Platform Security

4.3.1. You agree not to: (i) access or attempt to access non-public areas of the Platform; (ii) test the vulnerability of the Platform or breach any security measures; (iii) use any device, software, or routine that interferes with the proper working of the Platform; or (iv) introduce any viruses, trojan horses, worms, logic bombs, or other harmful material.

5. Intellectual Property Rights

5.1. Platform Content and Ownership

5.1.1. The Platform and its original content, features, and functionality are owned by Task Fills and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.1.2. Nothing in these Terms constitutes a transfer of any intellectual property rights from Task Fills to you.


5.2. User Content License

5.2.1. By posting, uploading, or submitting content to the Platform, you grant Task Fills a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for the purposes of providing and promoting the Platform.
5.2.2. You represent and warrant that you own or control all rights in and to the content you submit, and that such content does not violate these Terms or any applicable law.


5.3. Feedback

5.3.1. If you provide Task Fills with any feedback or suggestions regarding the Platform, you hereby assign to Task Fills all rights in such feedback and agree that Task Fills shall have the right to use such feedback in any manner it deems appropriate.

6. Payment Terms and Subscription Services

6.1. Subscription Plans

6.1.1. Task Fills offers various subscription plans for Recruiters and Employers with different features and pricing.
6.1.2. By selecting a subscription plan and providing payment information, you agree to pay the subscription fees as described at the time of purchase.
6.1.3. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.


6.2. Billing and Renewal

6.2.1. Subscriptions automatically renew unless cancelled by you before the renewal date.
6.2.2. You authorize Task Fills to charge your payment method for the subscription fees on a recurring basis until you cancel your subscription.
6.2.3. If your payment method fails or your account is past due, Task Fills may suspend or terminate your access to paid features.


6.3. Cancellation and Refunds

6.3.1. You may cancel your subscription at any time through your account settings or by contacting customer support.
6.3.2. Cancellation will be effective at the end of your current billing period, and you will not receive a refund for the current billing period.
6.3.3. Task Fills reserves the right to issue refunds or credits at its sole discretion.

7. Limitation of Liability

7.1. Disclaimer of Warranties

7.1.1. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
7.1.2. Task Fills does not warrant that: (i) the Platform will function uninterrupted, secure, or available at any particular time or location; (ii) any errors or defects will be corrected; (iii) the Platform is free of viruses or other harmful components; or (iv) the results of using the Platform will meet your requirements.


7.2. Limitation of Liability

7.2.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASK FILLS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PLATFORM.
7.2.2. Task Fills shall not be liable for any damages resulting from: (i) the use or inability to use the Platform; (ii) unauthorized access to or alteration of your transmissions or data; (iii) statements or conduct of any third party on the Platform; (iv) job loss, inaccurate or misleading job listings, or discrimination; or (v) any other matter relating to the Platform.


7.3. Indemnification

7.3.1. You agree to defend, indemnify, and hold harmless Task Fills, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

8. Dispute Resolution

8.1. Governing Law

8.1.1. These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
8.2. Arbitration

8.2.1. Any dispute arising from or relating to these Terms or the Platform shall be finally settled by binding arbitration administered by [Arbitration Association] under its Commercial Arbitration Rules.
8.2.2. The arbitration shall take place in [Your City, State/Country], and shall be conducted in the English language.
8.2.3. The decision of the arbitrator shall be final and binding, and judgment on the award rendered may be entered in any court having jurisdiction.

8.3.1. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

9. Termination and Account Deactivation

9.1. Account Termination by User

9.1.1. You may terminate your account at any time by following the instructions on the Platform or by contacting customer support.
9.1.2. Upon termination, your right to use the Platform will immediately cease, but all provisions of these Terms that by their nature should survive termination shall survive.


9.2. Account Termination by Task Fills

9.2.1. Task Fills reserves the right to suspend or terminate your account and access to the Platform at any time, for any reason, and without prior notice or liability.
9.2.2. Task Fills may also suspend or terminate your account if you violate these Terms or if your account is inactive for an extended period.


9.3. Effect of Termination

9.3.1. Upon termination, your account will be deactivated and you will no longer have access to your account or any content associated with it.
9.3.2. Task Fills may retain certain information as required by law or as necessary for legitimate business purposes.

10. General Provisions

10.1. Entire Agreement

10.1.1. These Terms constitute the entire agreement between you and Task Fills regarding the use of the Platform and supersede all prior and contemporaneous written or oral agreements.


10.2. Severability

10.2.1. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.


10.3. No Waiver

10.3.1. Task Fills' failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.


10.4. Assignment

10.4.1. You may not assign or transfer these Terms, by operation of law or otherwise, without Task Fills' prior written consent.
10.4.2. Task Fills may assign these Terms at any time without notice or consent.


10.5. Force Majeure

10.5.1. Task Fills shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.


10.6. Notices

10.6.1. Any notices or other communications permitted or required under these Terms will be in writing and given by Task Fills via email or Platform notification.
